- United Kingdom (“U.K.”): Whilst the CCF has been established and is authorized as a UCITS (in accordance with the UCITS Directive) in Ireland, the CCF has not been registered in the U.K. and therefore is not a recognized collective investment scheme for the purposes of the Financial Services and Markets Act 2000 of the United Kingdom (“FSMA”). Therefore, the promotion of the CCF and the distribution of the documents included on this page in the U.K. is accordingly restricted by law. - Shareholder Rights Directive II Disclosure: Article 3(g) of Directive (EU) 2017/828 of the European Parliament and of the Council of 17 May 2017 amending Directive 2007/36/EC (together with the relevant national implementing regulations, the “SRD II”) requires asset managers to adopt on a “comply or explain” basis an engagement policy describing how an asset manager integrates its investment strategy relating to shareholder engagement in companies that have a registered office in the EU and are listed on EU regulated markets (“EU investee companies”). Arrowstreet Capital, Limited Partnership (“Arrowstreet”) is an asset manager for the purposes of the SRD II. Arrowstreet has determined that it is not appropriate for it to adopt an engagement policy for the purposes of the SRD II with respect to The Arrowstreet Common Contractual Fund and the sub-funds thereunder (the “Funds”). This determination is based on the fact that Arrowstreet employs a quantitative investment process driven by algorithmic investment models with respect to the Funds and does not otherwise engage or interact with EU investee companies.
